Fund Flexo Terms of Use

By accessing any website, mobile application, software platform, API, or other interface operated by Fund Flexo, Inc. (“Fund Flexo,” “we,” “us,” or “our”) that links to these Terms of Use (collectively, the “Site” or “Sites”), you agree to be bound by these Terms of Use, including our Privacy Policy (collectively, the “Terms”).

FUND FLEXO DOES NOT GUARANTEE THAT:

  • THE SITES WILL BE SECURE.
  • DEFECTS WILL BE CORRECTED.
  • ACCESS WILL BE UNINTERRUPTED.

Fund Flexo does not provide legal, accounting, tax, financial, investment, or professional advice. Any information made available through the Sites is for informational purposes only.

Fund Flexo is not a HIPAA-covered entity and the Services are not intended for the storage or processing of protected health information.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUND FLEXO SHALL NOT BE LIABLE FOR:

  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Loss of data
  • Business interruption
  • Indirect damages
  • Special damages
  • Incidental damages
  • Consequential damages
  • Exemplary damages
  • Punitive damages

arising from or related to your use of the Sites, Services, Software, or content.

IN NO EVENT SHALL FUND FLEXO’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO FUND FLEXO FOR THE APPLICABLE SERVICE DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply.

10. Indemnification

You agree to defend, indemnify, and hold harmless Fund Flexo, its affiliates, officers, directors, employees, contractors, licensors, successors, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of:

  • Your violation of applicable laws.
  • Your infringement of any third-party rights.
  • Your negligence, fraud, or misconduct.

11. Assignment

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in California unless otherwise required by law.

13. Electronic Records and Signatures

You consent to receiving disclosures, agreements, notices, records, and communications electronically.

Electronic records satisfy any legal requirement that communications be provided in writing.

You agree that electronic signatures, electronic records, and electronic transactions shall have the same legal effect as paper documents and handwritten signatures.

You may withdraw consent to electronic communications by contacting Customer Support; however, withdrawal may limit or terminate your ability to use certain Services.

14. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements applicable to specific products or services, constitute the entire agreement between you and Fund Flexo regarding your use of the Sites and supersede prior understandings relating to the same subject matter.
